Constella Group, Inc., Acquires RTP Contract Research Organization

Constella Combines Resource Solutions, Inc., and Constella Biomedical Informatics to Offer Expanded Clinical Trial Services

DURHAM, N.C., Oct. 1, 2003—Constella Group, Inc., a privately held professional health services company, today announced that it has acquired Resource Solutions, Inc., (RSI) a Research Triangle Park-based contract research organization providing clinical trials management, clinical trials monitoring and quality assurance services to pharmaceutical, medical device and biotechnology sponsors.

Constella is combining RSI's resources and services with its former Constella Biomedical Informatics business unit to create a new business, Constella Clinical Informatics. The combined entities will offer pharmaceutical and biotechnology companies expanded research and development services in the areas of clinical trials management, data management, statistics, medical writing and information technology. One of the business' market differentiators is its unique technology platform, Constella Orion™, which enables the secure exchange of study data that fully complies with FDA regulations and offers the ability to organize and analyze data from multiple studies.

"RSI has a strong, established reputation in clinical trials management and monitoring," said Constella Group CEO Donald A. Holzworth. "By combining RSI's expertise with Constella's strengths in technology and data management, we are now able to offer our pharmaceutical clients with a complete breadth of services to help them manage and improve their entire clinical trials process.

"Our two organizations complement each other perfectly," he added. "There is no overlap in services, and we will continue to place a strong emphasis on developing and maintaining strong client relations, creating collaborative working environments and ensuring a high level of service."

Chris Speh, co-founder of RSI, will serve as acting president of Constella Clinical Informatics, focusing on integration and development during the post-acquisition phase, after which he will assume the position of executive vice president for Constella Group. Joan Reese, also co-founder of RSI, will lead the Clinical Informatics business unit in her role as chief operating officer. Both Speh and Reese will serve on the corporate leadership team.

"I am excited to be part of an organization that has demonstrated unprecedented growth and to lead a business that can deliver clients expanded services; staff dedicated to building exceptional client, vendor and employee relationships; and the highest level of quality," said Reese. "With Constella's investments, we are excited and look forward to future growth."

"This acquisition allows us to compete more effectively in the clinical trials and data management market and to offer our clients new, fully integrated services," added Speh. "Although our business will now operate as Constella Clinical Informatics, sponsors will continue to receive the same quality and value that they have come to expect."
