ASI Acquires Premier Health-Care Consulting Business
Protocare Sciences Adds Strategic, Global Influence in Commercial Marketplace
DURHAM, N.C., Jan. 8, 2003—Analytical Sciences, Inc., (ASI), a professional services company focused on enhancing human health, today announced that it has acquired Protocare Sciences, a premier, evidenced-based, health-care consulting and analytic services business based in Santa Monica, Calif.
Protocare Sciences, which has experienced more than a 65 percent compounded growth in the consulting business since 1998, helps pharmaceutical, biotechnology and medical device companies across the world accelerate medical therapies to market. It previously operated as one of three divisions of Protocare, Inc., a large provider of drug development services to clients in the pharmaceutical, biotechnology and nutrition fields. Prior to becoming a Protocare company in 1998, Protocare Sciences was part of the former Value Health, Inc.
Under the acquisition, Protocare Sciences will operate as a separate business. ASI will provide significant operational support, expected to help the consulting company grow its revenues more than 300 percent in the next three years.
"Protocare Sciences, which is supported by science-based analytic software, clinical tools and extensive databases, will help us evolve our business and markets so that we can deliver expanded services and solutions on an even greater scale to commercial clients across the globe," said ASI President and CEO Donald A. Holzworth. "We are particularly excited about the possibilities for cross-selling Protocare Sciences opportunities with MedNetics, our biomedical informatics business that provides regulatory-compliant process outsourcing to bio/pharmaceutical companies seeking to improve efficiencies and leverage their intellectual property. Protocare Sciences will also share scientific and technical resources with ASI's public-sector business, which provides research, bio-defense, technology, health communications, and science management and research administration services to premier health agencies."
As part of the acquisition, Donato Tramuto, one of the founders of Protocare, Inc., will continue to serve as Protocare Sciences' president and CEO. In addition, ASI has retained all of the strategic consultants, analysts and support personnel from Protocare Sciences, bringing ASI's total employee base to more than 600. Protocare Sciences employees work from company offices in Santa Monica, Herndon, Va., and Boston, and from their home offices across the United States.

The company will continue to deliver high-level, evidence-based consulting services to pharmaceutical and biotechnology companies, managed-care organizations, pharmacy benefit managers, foundations and health-policy groups.

For now, ASI will continue to market the business under the Protocare Sciences' name. However, a re-branding strategy, including a new name, will be announced in the future.
